These Terms of Service ("Terms") govern your access to and use of the Architecto platform available at https://architecto.dev (the "Service"), operated by Architecto.dev ("Architecto," "we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Definitions

  • "User" refers to any individual or entity that accesses or uses the Service.
  • "Content" refers to all data, text, diagrams, documents, configurations, and other materials created, uploaded, or shared through the Service.
  • "Organization" refers to a team or company workspace within the Service.

2. Account Registration

2.1 Eligibility

You must be at least 16 years of age to use the Service. By registering, you represent that you meet this requirement.

2.2 Account Credentials

You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately at shafi@autonomops.ai if you suspect unauthorized access to your account.

2.3 Third-Party Authentication

You may register and sign in using third-party authentication providers, including Google Sign-In. By doing so, you authorize us to access certain account information from that provider (such as your email address, name, and profile picture) as described in our Privacy Policy. Your use of third-party authentication is also subject to that provider's terms of service.

2.4 Account Accuracy

You agree to provide accurate and complete information when creating your account and to update it as needed. Accounts created with false or misleading information may be terminated without notice.

3. Use of the Service

3.1 License Grant

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business or personal purposes.

3.2 Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
  • Attempt to gain unauthorized access to the Service, other accounts, or any related systems or networks.
  • Interfere with or disrupt the integrity, security, or performance of the Service.
  • Reverse engineer, decompile, or disassemble any part of the Service.
  • Use automated tools (bots, scrapers, crawlers) to access the Service without our written consent.
  • Upload or transmit any malicious code, viruses, or harmful content.
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
  • Use the Service to harass, abuse, threaten, or harm other users.
  • Resell, sublicense, or redistribute the Service or any part of it without our written authorization.
  • Circumvent any access controls, rate limits, or usage restrictions.

3.3 Usage Limits

Your use of the Service is subject to the limits of your subscription plan. We reserve the right to throttle or suspend access if usage materially exceeds plan limits or threatens system stability.

4. User Content

4.1 Ownership

You retain all ownership rights to Content you create or upload through the Service. We do not claim ownership of your Content.

4.2 License to Architecto

By uploading Content, you grant us a limited, worldwide, non-exclusive license to store, process, display, and transmit that Content solely to operate, maintain, and improve the Service and to provide features you request (such as sharing, collaboration, and export).

4.3 Content Responsibility

You are solely responsible for the Content you create and share. You represent that you have the necessary rights to upload, share, and use such Content and that it does not infringe any third-party rights.

4.4 Content Removal

We reserve the right to remove or disable access to Content that violates these Terms, infringes intellectual property rights, or is otherwise objectionable, at our sole discretion and without prior notice.

5. Intellectual Property

5.1 Architecto Property

The Service, including its design, code, features, documentation, branding, logos, and trademarks, is the exclusive property of Architecto.dev and is protected by intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Service beyond the limited license in Section 3.1.

5.2 Feedback

If you provide suggestions, ideas, or feedback about the Service, you grant us an unrestricted, perpetual, irrevocable, royalty-free license to use, modify, and incorporate such feedback without any obligation to you.

6. Subscription and Payment

6.1 Plans and Pricing

The Service may be offered under free and paid subscription plans. Pricing, features, and limits for each plan are described on our website and are subject to change with reasonable notice.

6.2 Billing

Paid subscriptions are billed in advance on a recurring basis (monthly or annually). You authorize us to charge your designated payment method for all applicable fees.

6.3 Refunds

Payments are non-refundable except where required by applicable law. Unused portions of a subscription period are not eligible for refund upon cancellation.

6.4 Taxes

You are responsible for all applicable taxes associated with your use of the Service, except taxes based on Architecto's net income.

7. Termination

7.1 Termination by You

You may close your account at any time through the account settings or by contacting us at shafi@autonomops.ai. Upon termination, your right to use the Service ceases immediately.

7.2 Termination by Architecto

We may suspend or terminate your account, with or without notice, if:

  • You violate these Terms or any applicable law.
  • Your use of the Service poses a security risk or negatively impacts other users.
  • Your account has been inactive for an extended period.
  • We are required to do so by law.

7.3 Effect of Termination

Upon termination, we will delete your account data within 30 days unless retention is required by law or for legitimate business purposes. Content shared within Organization workspaces may be retained for other members of that Organization. Sections 4.1, 5, 8, 9, 10, and 11 survive termination.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND QUIET ENJOYMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ARCHITECTO, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR:

  • ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
  • ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY.
  • ANY DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

10. Indemnification

You agree to indemnify, defend, and hold harmless Architecto and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your use of the Service.
  • Your Content.
  • Your violation of these Terms.
  • Your violation of any applicable law or third-party rights.

11. General Provisions

11.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.

11.2 Dispute Resolution

Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Wilmington, Delaware. Either party may seek injunctive relief in any court of competent jurisdiction.

11.3 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Architecto regarding the Service and supersede all prior agreements and understandings.

11.4 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

11.5 Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

11.6 Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction.

11.7 Modifications

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by posting the updated Terms on this page and updating the "Last Updated" date. Your continued use of the Service after the revised Terms become effective constitutes your acceptance.
